Whereas the first party is a professional cosmetics producer, procure, distributor and marketing agency carrying on business.

And whereas the first party has a need for the service of the Sales Agent in the marketing or selling of its products and the sales agent has agreed to market and sell the said products on behalf of the first party,

And whereas the parties are desirous that this agreement shall govern their relationship and it is agreed that:

1. 1. The first party shall on any agreed date supply to the Agent such quantities of its products as the parties agree and issue out an invoice/cash sales receipt.
2. 2. Any breakage in the hands of the Agent will not be accepted as a defect.
3. 3. The agent is bound by the terms and conditions as stipulated in this agreement.
4. 4. In the event of any dispute between the parties, they shall try to resolve the same firstly by conciliation, failing which by arbitration. For the avoidance of doubt, this clause shall not prevent either side from seeking recourse in the event of material breach of this agreement.

TERMS AND CONDITIONS

As a Royal Secrets Cosmetics Agent, I understand and agree that:

1. 1. I am acting on my behalf as an individual and that I am 18 years of age and older.
2. 2. This document shall constitute a binding agreement between me and Royal Secrets Cosmetics (Pty) Ltd.
3. 3. I am an independent contractor. I am not an employee or representative of Royal Secrets Cosmetics Pty Ltd for any purpose. I will be responsible for compliance with local statutes and laws and regulations.
4. 4. I have received, read and signed the Memorandum of Agreement and agree to operate my business in accordance with the company policy procedures set therein.
5. 5. Royal Secrets Cosmetics Pty Ltd reserves the right to terminate my agency if my contract is in breach of contract whether by action or omission on my part.
6. 6. I shall sell Royal Secrets Cosmetics products at the recommended price, not more or less. Failure to act as such shall result in my agency being terminated.
7. 7. That this agreement is personal in nature and it cannot be assigned or transferred.
8. 8. As long as I am an Agent and not in violation of this agreement, Royal Secrets Cosmetics Pty Ltd shall pay me benefits for my successful efforts in accordance with the commission structure.
9. 9. All rewards and incentives are subject to the first party's terms and conditions.
10. 10. This agreement shall be governed by statute local statutes and laws.

RULES AND REGULATIONS

1. 1. Termination: Member may terminate this agreement at any time provided they submit a written notice to Royal Secrets Cosmetics.
2. 2. Upon termination: Agent shall not have any further rights to participate in any competition or rewards program under Royal Secrets Cosmetics.
3. 3. Advertising: Royal Secrets Cosmetics requires the agent to seek prior approval before placing any content or materials on the internet, this includes websites, WhatsApp, Facebook, or any digital platforms.
4. 4. Product range: Royal Secrets Cosmetics reserves the right in its sole discretion to change its product line, prices, terms and conditions, reward program, or policies and procedures at any time provided they notify the agent at least 7 days of written notice.
5. 5. Family tree: Agent may not change upliner or downliner at any given time during the course of the agreement. This is done to protect the integrity of the Royal Secrets Cosmetics referral and reward program.
6. 6. Refund policy: Royal Secret Cosmetics does not offer cash refund under any circumstance. If Agent is found to be reasonably not satisfied with a product, they may exchange it with any Royal Secrets Cosmetics product of the same monetary value.
7. 7. Car prizes: All cars earned at Royal Secrets Cosmetics remain company property for a period of 2 years for as long as both parties are in agreement after which ownership will be transferred into the Agent's names after this period.
8. 8. Car award achievers: need to be holders of a valid driver's license upon receiving the car prize from Royal Secrets Cosmetics.
9. 9. Vehicle presentation: Vehicles will be presented at a prize giving ceremony which achieving Agent is required to attend, venue and times to be determined by Royal Secrets Cosmetics.
10. 10. Terms and conditions for car award: are determined by Royal Secrets Cosmetics as stated in the car contract form which agent should sign on official handover of the car prize.
11. 11. Effective date: This agreement becomes effective only upon submission of this Registration form to Royal Secrets Cosmetics and once proof of payment for minimum starter kit / first order has been made.
